Submission and listing of Apps to the Make Apps Marketplace Terms & Conditions

Effective since: June 16, 2023

1. In order to post any custom applications or modules to the Make Apps Marketplace (each, a “Partner-developed App”) You must have an active Make Partnership Agreement.

2. Your submission, and the subsequent listing, of each Partner-developed App to the Make Apps Marketplace is subject to (a) Your Make Partnership Agreement with Us and (b) these Terms & Conditions.

3. Capitalized terms used in these Terms & Conditions shall have the same meaning as in Your Make Partnership Agreement.

4. All Partner-developed App submissions are subject to review by Us prior to their being posted on the Make Apps Marketplace. We may accept or reject the submission of any Partner-developed App at Our sole discretion. We reserve the right to re-review any Partner-developed App for continued compatibility with the Make Products.

5. The Make Apps Marketplace is intended to be a promotional platform for Partner-developed Apps appearing thereupon. You shall be responsible for the actual distribution and licensing of your Partner-developed Apps to Make Products subscribers. You further agree that:

   1. You are solely responsible for the maintenance and support of Your Partner-developed Apps. In the event You fail to adequately maintain Your Partner-developed Apps, We may, at Our sole discretion remove the affected Partner-developed Apps from the Make Apps Marketplace;

   2. Nothing shall prevent Us from developing and publishing an app substantially similar or equivalent to any Partner-developed App, provided We do not use Your Confidential Information during the course of such development;

   3. We shall have sole discretion to discontinue any Partner-developed Apps and remove such Partner-developed Apps from the Make website at any time without notice; and

   4. You shall defend and/or settle, at Your expense, any third-party claim brought against Us or Our Representatives arising from or related to Your Parter-developed Apps or the description and images of the Partner-developed Apps used on the Make Apps Marketplace (“Partner-developed Apps Claim”). “Representatives” means Our, and Our Affiliates’, employees, officers, directors, advisers, agents and subcontractors. You shall indemnify Us and Our Representatives against any losses arising from or related to the Partner-developed Apps Claim or settlement amounts agreed to in writing by You in relation to such Partner-developed Apps Claim.
